--------------------------------------------------------------------Dear HXNY Parents and Members,

We, the signature bearers of the July 17 removal meeting notice, are delighted to announce that we have reached a legal binding settlement agreement with the five Board members.

We, therefore, announce to cancel the membership meeting on July 17, 2011 for removal of Gary Guo, Shengjing Li, Minghui Lei, Peiwen Yang, and Ching Zhou from the Board of HXNY.

The Agreement

The full legal settlement agreement is attached for your inspection.

Here are the major deal points:

1. Peiwen Yang will be replaced by PC Chair Li Zhu.

2. Gary Guo will be replaced by Acting Principal Lida He.

3. Mr. Jianren Li, an ex-board member, will be the Chairman of the Bylaw Amendment Committee.

4. Gary Guo and others will withdraw their lawsuit against Mr. Alan Wang and others with prejudice. (They can never sue Mr. Wang for the same complaint.)

5. The school will not reimburse the legal fees related to the lawsuit by the 5 board member against Mr. Alan Wang and others.

6. The Board will issue a resolution to honor and thank revered former Principal Alan Wang for his 16 year selfless services to HXNY.

7. Principal Elect Dapeng Hu and PC Chair Elect Yawen Liu will not be removed.

Explanation of the Agreement

We understand that this agreement might not make every member happy. However, we believe the settlement agreement is in the best interest of the School. We believe we made reasonable compromise to protect the integrity of the School, and to make critical progress on Bylaws’ amendment. On the other hand, we think reaching the agreement has many crucial benefits, as it

1. Supports restore of order and registration process

2. Supports on-time opening of our school in September.

3. Averts an unprecedented crisis that threatened the very existence of our school.

4. Forms a responsible Bylaw Amendment Committee to ensure no repeat of such chaos.

5. Ensures an orderly and normal transition of the Board.

6. Protects the school assets.

Next Steps

We are now calling on all parties to work together to restore the unity and education excellence of Huaxia NY school. The official transition of the current school admin and Board matters will start soon. Please follow their email instructions.

We are glad to see that we have united and fought hard for our rights and preserved our school as one. We thank you for your unwavering support throughout this crisis! Without it, this settlement would not be possible.

Sincerely yours,

Charles Chu
